Counterparty verification

"Group" is a word. It is not a structure.

Our own name says nothing about our size, our assets or who stands behind us — and neither does anybody else's. When you sign a contract, you contract with exactly one legal entity, and only that entity's assets answer for it.

HG Group Ltd. is a private company in Astana. We check who a counterparty actually is before our clients commit to them. This page sets out how to do that yourself.

A holding company is not a guarantor

There is a widespread and expensive assumption that if a business belongs to a larger group, the larger group is good for its debts. In the ordinary case it is not. Limited liability works in both directions: a parent is generally no more answerable for its subsidiary's obligations than a shareholder is for a company's.

This is not a loophole and it is not unusual — it is the basic point of incorporating separate companies. But it means that comfort drawn from a group's overall size is comfort drawn from a party that has not promised you anything. If you want the strength of the group behind your contract, the group has to sign something. A logo does not sign.

Actually creates a claim

  • A written guarantee or surety from the parent, signed by someone authorised to bind it
  • The larger entity named as a party to the contract itself
  • Security over identified assets, properly registered
  • An advance payment held by a third party on stated release conditions
  • A bank instrument issued by a bank, verified directly with that bank

Creates nothing at all

  • Shared branding, a shared website, a shared office
  • "We are part of the X group" in an email or a presentation
  • The group's turnover quoted in a proposal
  • A parent company's accounts sent as evidence of your counterparty's strength
  • A verbal assurance that "the group always stands behind us"
The one-sentence test

If the counterparty failed to perform tomorrow, whose name would be on the claim — and does that name have anything? If the honest answer is "the small company, and not much", the group's size was never relevant to your decision.

Four details that identify a company, and the many that do not

Trading names, brand names and website domains are not identity. Two companies can use the same trading name; one company can use ten. Before anything is signed, four things have to be pinned down, in writing, and they have to match each other.

Full legal name
Exactly as registered, including the legal form and its position. Not the brand, not the abbreviation, not the name on the sign above the door.
Registration number
In Kazakhstan, the BIN for a legal entity or the IIN for an individual entrepreneur. This is the only identifier that cannot be shared with another business or quietly changed.
Legal form
TOO, AO, individual entrepreneur, branch, representative office, or a company incorporated in the AIFC. A branch is not a separate company; a representative office generally cannot trade at all.
Register entry
That the entity is actually recorded, that it is active rather than in liquidation or reorganisation, and that its recorded address and activity are current.

The two forms in that last row deserve particular care. If your counterparty is a branch or a representative office, you are dealing with a part of another legal person — quite possibly a foreign one — and the contract, the liability and any dispute will follow that other entity, wherever it sits. That is not necessarily bad. It is simply a different deal from the one most people think they are doing.

A company registered in the Astana International Financial Centre is also a distinct case: it is a real company incorporated under the AIFC's own regime, which is not the same as being licensed to provide financial services. Those are two separate registers and two separate decisions. Incorporation records existence; authorisation records permission. Neither substitutes for the other, and the second one is the one that matters if somebody is proposing to handle your money.

Seven checks to run before you sign anything material

None of these requires a lawyer, a subscription or a specialist. Together they take an afternoon, and they catch most of what goes wrong. Tick them off as you go — the bar at the top of the page keeps count.

Check number four, expanded

A request to pay a different account than the one in the contract — because of an audit, a frozen account, a "group treasury", or urgency — is the most common commercial fraud there is, and it usually arrives from a real address in a real email thread. Treat every change of payment details as fraud until you have confirmed it by calling a number you already had, never a number in the message asking for the change.

Who is actually allowed to bind the company

A signature only binds a company if the person writing it had the authority to do so. Titles on business cards are not authority, and the courteous assumption that a senior-sounding person must be able to sign is exactly where contracts fall apart later.

The directorThe person recorded as the executive body of the company. They can normally sign without anything further — provided the register says it is still them, and provided the charter does not require approval above a certain value.Ask: is this the person in the register, today?
A holder of a power of attorneyPerfectly valid, if the document is current, issued by the company, and actually covers this type of transaction and this amount. Take a copy and read it — do not accept a description of it.Ask: may I keep a copy of the authority?
"The manager"A commercial director, a branch head, a project manager, a partner's representative. Frequently the person you negotiated everything with, and frequently the person with no power to bind anyone.Ask: who signs, and what is their authority?

Asking for proof of authority is not an insult and is not unusual — any competent counterparty expects it and has the document ready. The awkwardness of asking lasts a minute. The awkwardness of a contract signed by someone who could not sign it lasts as long as the dispute does.

Four situations where these checks earn their keep

Not every transaction needs an afternoon of verification. These ones do.

PAYING IN ADVANCE

Any prepayment, deposit or milestone paid before you receive anything. Your entire position is the counterparty's willingness and ability to perform.

A NEW COUNTERPARTY, LARGE FIRST ORDER

A first transaction that is unusually large, or unusually favourable, or unusually urgent. All three together is a pattern, not a coincidence.

ANYTHING INVOLVING PROPERTY OR PLEDGES

Where an asset is being transferred, leased or given as security, and the registers are the only place the truth is recorded.

PAYMENT DETAILS THAT CHANGE

A bank account altered mid-contract, or an invoice from an entity you have not contracted with. Verify by a channel you established yourself.

What HG Group Ltd. is — and what it is not

HG Group Ltd. is a private company registered in Astana. Our work is factual and documentary: establishing the identity, status and authority of a counterparty from public registers and from the documents that counterparty provides, and reporting what we found and what we could not establish.

The word "Group" in our name is, as this page has argued at length, simply a name. It does not indicate subsidiaries, assets, turnover or any other company standing behind us. We would rather say that ourselves than have a reader assume it.

What we do not do
  • Lend money, arrange or broker credit, or introduce clients to lenders for a fee
  • Accept, hold, pool or manage funds or assets belonging to any other person
  • Provide banking, payment, insurance, securities, brokerage or asset-management services
  • Give legal, tax, audit or investment advice, or represent anyone in a dispute
  • Guarantee, insure or underwrite the performance of any counterparty we report on
  • Collect debts, trace individuals, or gather information about private persons

A verification report describes what the public record showed on the day it was checked. It is not an opinion on whether a deal is a good idea, it cannot see what is not recorded anywhere, and it is not a substitute for legal advice on the contract itself. Where a lawyer is needed, we say so rather than filling the gap ourselves.

Our registered address in Astana is an administrative address for correspondence and service of documents. It is not a public office and we do not receive visitors there. Please write or call first.
